AB Institutional Shareholder Services scores corporate governance practices on a percentile basis from zero to 100, the first score measuring the company against others of comparable size and the second measuring it against industry peers. Components of the rating scores fall under seven core topics: 1) board structure and composition, 2) charter and bylaw provisions, 3) laws of the state of incorporation, 4) executive and director compensation, 5) qualitative factors, including financial performance, 6) director and officer stock ownership, and 7) director education.
